Azelis Portal Terms of Use

These Azelis Portal Terms of Use are entered into by, on the one hand, Azelis Corporate Services NV/SA, with registered seat at Posthofbrug 12/6, 2600 Antwerp, Belgium, with enterprise number 0864.977.011, RPR/RPM Antwerp division Antwerp (“Azelis”), and, on the other hand, you as a natural person and the legal entity for whom you use the Azelis Portal (the “Entity”).

By logging onto this Azelis Portal (the “Portal”) you acknowledge that you have the authority to act on behalf of the entity for whom you are using the Portal and that you have read and accept these Terms of Use in your own name and on behalf of the Entity.

1. Admission and Registration

   1. The Portal may only be used by registered users. Access should be requested through the Portal. Azelis may accept or reject such request in its sole discretion.
   2. You represent and warrant and shall be solely responsible that any information and data provided in the course of registration is true, accurate and complete.

2. Right to Use

   1. Azelis grants to you and the Entity a non-exclusive, non-assignable, non-sub-licensable revocable, worldwide and free-of-charge license to access and use the Portal and the content contained therein, limited by and subject to these Terms of Use.
   2. The username and password assigned to you by Azelis are personal and you may only access the Portal with your username and password. You may not share your username and password with other users of the Entity or with any third parties. You ensure that your username and password will be kept secure and confidential. If you become aware that your username or password has been obtained and/or used by any unauthorized party, you have to inform Azelis immediately so that we may block access to your account and send you a new username and password. You are responsible for all activities that occur under your account.
   3. You may discontinue your use of the Portal at any time. You agree to notify Azelis immediately when your account is to be terminated. Azelis may at any time, with immediate effect, without any prior notice, without any compensation, and for any reason, such as a period of account inactivity or a violation of these Terms of Use by you or the Entity, limit, suspend or terminate your and the Entity’s access to the Portal and account. In case of termination, your account will be disabled and you may not be granted access to the Portal, your account and any content contained in the Portal.
   4. Your right to use the Portal is assigned to you solely in the context of your employment or collaboration relationship with the Entity, and automatically ceases to exist when that relationship terminates. You agree that you will no longer use your username and password as from the termination of that relationship.
   5. You may use the Portal and the content contained therein only for the purpose of your employment or collaboration relationship with the Entity.
   6. As from the termination of your access to the Portal and in any other case when your right to use the Portal ceases to exist, you may no longer use the content of the Portal, both content that is still in the Portal and content that you have downloaded or printed, and you agree to immediately destroy such downloaded and printed content.
   7. You are not allowed to use any automated means for downloading any content contained in the Portal, such as scripts and crawlers. Azelis reserves the right to at any time monitor your downloading activity and block any excessive downloading or the use of such automated mean without any prior notice.
   8. You are not allowed to do or attempt to do any of the following: (a) gain unauthorized access to any portions or areas of the Portal for which access has not been expressly granted, (b) obtain or recreate any access credentials of any other user by hacking, password mining or similar means, (c) take any action or do anything that could impair the security, integrity, availability or performance of the Portal.

3. Disclaimer

   1. The Portal is provided on an “as-is” and “as-available” basis only. The Portal contains information of a general nature only. Information on the Portal is neither personal or professional advice nor a commercial offer and cannot be considered as such. No rights can be derived from the content contained in the Portal. Azelis does not warrant that (a) the Portal will meet your requirements and will at all times be available or uninterrupted, timely, secure or error-free, (b) any errors will be corrected, and (c) the content of the Portal will be accurate, reliable, usable, topical, complete or error-free, and (d) the outcome of your use of the Portal or its content will be accurate or reliable.
   2. The Portal may contain links or other references to or content from third-party websites or resources. Azelis may have no control over such websites and resources and you agree not to hold Azelis responsible or liable for the availability, reliability, functioning, content or security of such third-party websites or resources, or for any intellectual property rights or other infringements by these third-party websites or media.
   3. Azelis does not guarantee that the Portal will at all times be available and reserves the right at any time and from time to time to modify or discontinue the Portal temporarily or permanently and for whatever reasons, including the availability of any portion of the content, without notice. You agree not to hold Azelis liable for any modification, suspension or discontinuance of the Portal or its content.
   4. To the extent allowed by applicable law, Azelis does not provide any warranties and disclaims any and all liability (such as for any indirect damage, loss of profits, lost savings, damage to reputation, and any commercial or financial damage) regarding your use of the Portal, the information on the Portal and your use of that information, for instance with respect to the accuracy, completeness, reliability, usability or topicality thereof.

4. Intellectual Property and Confidentiality

   1. The Portal and its content are confidential information of and are protected by intellectual property and other rights of Azelis or third parties, such as copyright, trademarks, patents, trade secrets, etc. Azelis is and remains the owner or licensee of the intellectual property rights on the Portal and its content. These Terms of Use do not imply any transfer of any intellectual property rights or such user rights.
   2. You may not disclose, publish, make available, modify, sell, rent, lease, loan, trade, exploit or distribute to any third parties in any way, create any derivative works of the Portal’s content, or use the Portal’s content for any purposes that are not in Azelis’ commercial interest.
   3. You may not use, modify or remove any mentions or indications of intellectual property rights (such as copyright notices and company logos and trademarks) on any content in the Portal, also after having downloaded or printed such content.

5. Data Protection

6. Miscellaneous

   1. Articles XII.6, §1, 8°, XII.7, §1, XII.8 and XII.9 of the Belgian Code of Economic Law do not apply.
   2. Azelis may update these Terms of Use without notice other than posting the updated Terms of Use on the Portal’s website. By logging into the Portal after such posting of the updated Terms of Use, you acknowledge that you have read and accept the updated Terms of Use in your own name and on behalf of the legal entity for whom you use the Portal.
   3. You may not assign or transfer any of your rights or obligation under these Terms of Use to any third party without Azelis’ prior, written and explicit consent.
   4. If one or more provisions of these Terms of Use are void or invalid, this will not affect the validity of the other provisions. Any void or invalid provision will be replaced as quickly as possible with a provision that approximates the nature and purpose of the original provision as much as possible.
   5. These Terms of Use and your use of the Portal are exclusively governed by the laws of Belgium, to the exclusion of any conflicts-of-law rules pursuant to which the laws of another jurisdiction would apply and of the United Nations Convention on Contracts for the International Sale of Goods. Any contractual or tort dispute related to these Terms of Use or your use of the Portal will be adjudicated exclusively by the courts of Azelis’ registered office on the date of the writ of summons.
